1. Introduction / Acceptance of Terms

These شروط الخدمة ("Terms") govern your access to and use of the Zepiva platform, website (zepiva.com), API services, and associated products. Zepiva is operated as a registered B2B communication software-as-a-service (SaaS) platform. By creating an account, upgrading to a paid tier, or using our services, you (the "User", "Customer", or "Business") agree to be bound by these Terms, our سياسة الخصوصية, our Refund Policy, and our سياسة الاستخدام المقبول. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these conditions.

2. Description of Service

Zepiva is a ready-made, plug-and-play AI agent platform that enables businesses to manage customer communications automatically. Zepiva allows you to authorize and connect your existing communication accounts, specifically:

• WhatsApp: Connecting via the official Meta WhatsApp Business Cloud API OAuth.
• Email: Connecting Gmail or Google Workspace accounts via Google OAuth2.
• Phone: Setting up call routing to Zepiva's natural AI voice interface via carrier call-forwarding.

Once connected, Zepiva's AI agents respond to customer questions, check calendar availability, book appointments, and execute conversational tasks according to the predefined agreements, business instructions, and rules set by the customer.

Orchestration Layer Architecture: Zepiva acts strictly as an authorized orchestration layer, not as a permanent data warehouse. Customer conversations and data reside securely inside Meta's cloud infrastructure (for WhatsApp) and Google's cloud infrastructure (for Email). Zepiva does not own or store permanent message archives.

3. User Accounts, Access, and Billing

To access the service, you must create a verified business account. You are responsible for:

• Maintaining the absolute confidentiality of your account credentials and OAuth tokens.
• All activities, automation tasks, and communications initiated by your connected AI agents.
• Providing accurate, complete, and up-to-date business registrations, billing info, and contact details.

Zepiva reserves the right to suspend or terminate accounts that provide false signup data, or fail to complete required identity verification procedures required by our payment processors or telecommunication partners.

4. Acceptable Use and Prohibited Conduct

All users must comply with our سياسة الاستخدام المقبول (AUP). You represent and warrant that you will not use Zepiva's AI communication infrastructure to:

• Initiate unsolicited marketing, robocalls, or bulk cold communications.
• Transmit spam, deceptive phishing messages, harassment, or unlawful content.
• Violate local or international communications laws, including the Telephone Consumer Protection Act (TCPA), GDPR, CAN-SPAM Act, and Meta Business Messaging Policies.

Any account detected initiating non-consensual campaigns will be permanently disabled immediately with no refund.

5. Intellectual Property

Platform Ownership: Zepiva owns all rights, title, and interest in and to the Zepiva platform, design systems, logos, codebase, and AI orchestration mechanisms.

User Data Ownership: The customer retains complete ownership of all business rules, guidelines, text descriptions, knowledge bases, and customer communications uploaded to Zepiva. The customer grants Zepiva a limited, non-exclusive, royalty-free license to access and process this data strictly to deliver the requested services.

6. Privacy and Data residency

Your privacy and data residency are governed by our سياسة الخصوصية. Data processed by Zepiva is handled securely through industry partners, including Google Firebase, OpenAI (enterprise API with zero-data-retention for model training), Telnyx, Vapi, and Resend. We do not sell or monetize your business or customer logs.

7. Disclaimers

The Zepiva platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Specifically:

• We do not guarantee that the AI agent's responses will be error-free, accurate, or perfectly represent your brand in all scenarios. You are responsible for defining strict rule parameters and supervising the AI agent.
• We make no guarantees of increased conversion rates, sales, or customer satisfaction.
• We are not responsible for delivery failures, carrier blocks, or service terminations imposed directly by Meta, telecom providers, or email providers.

8. Limitation of Liability

To the maximum extent permitted by law, Zepiva, its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruptions. Zepiva's total liability for any claim arising out of these Terms shall not exceed the total subscription fees paid by you to Zepiva in the twelve (12) months preceding the event.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted to this page with an updated "Last updated" date. For material changes, we will notify registered users via the email associated with their account. Continued use of the platform after changes are posted constitutes your acceptance of the new Terms.

10. Governing Law / Jurisdiction

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lahore, Punjab, Pakistan.
